Library System Bylaws pertaining to repeated meeting absences
On
occasion, a board member stops attending meetings and ceases to be an effective
contributor to the work of the board. In
those instances, the board needs a mechanism to end the term of service of that
member and to replace him or her with someone new. The WLS bylaws need to be changed to empower
you to take action when a member ceases to participate.
Article
VIII, Section 5. of the bylaws tells how to amend the bylaws – by providing
written notice of the proposed amendment at least 14 days prior to a meeting
attended by a majority of the board’s members.
This notice is included in the board packet for the November 29, 2006
meeting of the Winnefox Library System Board in order that it may be considered
at the January 31, 2007 meeting.
I
propose that the following text become Article II, Section 4. of the Winnefox
Library System Bylaws:
When any trustee is absent without notice or
reasonable excuse from three regular meetings of the board within a single year
the president shall notify the appointing authority of such absences,
suggesting that consideration be given to a replacement on the Board of
Trustees.
