CONSULTATIVE SERVICE AGREEMENT

This Agreement is made as of the 25th of September in the year 2002 by and between the Winnefox Library System Board, hereinafter called the "Board" and

John V. Nichols, hereinafter called the "consultant."

· Whereas, the Board, recognizes the additional level of responsibility associated with the administration of the Winnefox Library System and Oshkosh Public Library as two separate and distinct agencies, and;

· Whereas, the Board, recognizes the significant accomplishments of the System during the last several years in areas of facilities planning, automation, County planning and funding, legislative involvement and success, inter-library loan and public relations services, and;

· Whereas, the Board, acknowledges the additional time commitments necessary and demonstrated by the Director in serving as an administrative consultant and considers it in the best interest of the System to encourage that additional commitment on an ongoing basis,

· Now, therefore, the Board and the consultant for the considerations hereinafter named, agree as follows:

1. The Board agrees to pay $7,725 as an annual fee for independent administrative consultant's services as have been customarily provided by the consultant. This fee will be implemented effective Jan. 1, 2003, and paid in monthly installments upon billing.

2. The Board and/or consultant may terminate this Agreement if for any reason the consultant no longer provides administrative consultant services to the System. Termination shall be accomplished through written notification at least 90 days in advance of termination date. In this event, the consultant shall be paid for services rendered and satisfactory work completed.

3. This Agreement may be amended at any time by mutual agreement of both parties.

4. The Board may occasionally request the consultant to perform studies that document time spent on System business.
